Hans: I mean, I think, even in domestic transaction when you kind of see the money from working a long time to find a good buyer, people want to strike while the iron's hot. A lot of what we do is say, let's slow down a little bit and make sure we do this right. But, with international, as your saying, it's that much more risky. Yeah, they could be trying to get your intellectual property, that's very common, we protect you from that. And the other thing is, if you're manufacturing or you have some technology that might be sensitive, I mean it's not necessarily obvious, it's not necessarily a missile, it could be there's magnets, lasers, sensors, all kinds of things you might not think of as being military sensitive. There's a whole other area of the law that covers that, so that could be an issue. There's also something called a foreign corrupt practices act, which, when you're dealing internationally, you have to be very careful, because in some cultures, they might not look like bribes, but gifts and so are common, and you have to be really careful to stay on the right side of the law, especially US law.

George: Right at the top of the list is clean financials. You know, I don’t care if you’ve got a boat in the harbor and that’s part of your compensation package for your closely held firm, but have some receipts for that boat in the harbor so when somebody starts looking at it, and they realize they don’t have that boat in the harbor, but that’s still true income in a recast financial statement. And, I may have mentioned, what happens with this is when you get it packaged, and you get an interested party, that party will come in and one of two things happens: either they get enthusiastic about it and gain confidence, and you go get a deal done, or they lose confidence, you lose their interest, and you’re done.

Bill: Okay, so it’s your first chance at selling your business, here’s some great wisdom from somebody who’s done it many times, Rick Usher.
Rick: I think the realism we talked about, first of all: what is my business really worth? People have these proprietary feelings about their business, and they think often times it’s worth a lot more than it is, that’s the first thing. The second thing is that they’ve gotta be realistic as to how they’re gonna make this transition. I think it’s very unlikely for most business sellers to find a buyer who’s gonna walk up and write them a check, so they need to figure out and plan how they are gonna exit this thing, whether it’s seller carry-back financing, whether it’s, as we just discussed, they’re gonna find somebody internally who can take over and generate the revenue to pay the seller, or whether it’s some other alternative. That’s the biggest challenge, I think.
