Scott: A private equity buyer may not be the highest buyer, a strategic may actually pay more. A strategic may pay a premium. The challenge is, like you just said, if you’re a business owner, do you really want to go to your competitor and expose your business? Now, as a private equity firm, it is necessary over a certain period of years, that the private equity owner will want to sell that business. It’s not a flip, but it is preparing a business for an eventual second’s transaction. That could be considered a con to some business owners. Another negative is sometimes a private equity firm could have really good intentions, without strategy and strategic insight, and it just doesn’t materialize. Sometimes we think that we’re smarter than we really are, and once we get in there we don’t have as much strategic value as the seller may have thought we had. That is a risk that the seller needs to be aware of.

Bill: So, you want to reward your employees with stock? Well, there's a few things you ought to know, here's Theresa Oatman. 

Theresa: Equity compensation is considered a benefit for the employee, and it's like at the hub of a wheel, where it touches on so many departments internally as well externally: finance, legal, payroll, the SEC, IRS, and that's not even to mention all of the international countries. In the last 10 years, other countries have figured out, "oh, there's wealth to be made, here." Now, they're all coming up with all of their rules on how to tax it, and some is taxed and grant date, some is taxed later. So, you even need to know those kind of rules before you even grant to somebody in China or the UK, every country has different rules.

Andrew: Many of us would say, that business owners, for them, the business is really the first child. So, they think it's worth a lot, and they may be disappointed by the results, but at least they have the results. But it goes the other way too, "I don't think my business is really worth much, you know, a few trucks and file cabinets," and they don't realize the going concern value of the business. So, it does come both ways, but probably more likely, a little disappointment, but at least they have something realistic. And more importantly, I should say equally as important, they find out why it is not worth more, so if we have to grow the value of the business, we know things that we need to work on, because the valuator may have pointed those things out to us.

George: Right at the top of the list is clean financials. You know, I don’t care if you’ve got a boat in the harbor and that’s part of your compensation package for your closely held firm, but have some receipts for that boat in the harbor so when somebody starts looking at it, and they realize they don’t have that boat in the harbor, but that’s still true income in a recast financial statement. And, I may have mentioned, what happens with this is when you get it packaged, and you get an interested party, that party will come in and one of two things happens: either they get enthusiastic about it and gain confidence, and you go get a deal done, or they lose confidence, you lose their interest, and you’re done.

Joan: This surprises a lot of people, Bill, but I really believe that whether you are going to transfer ownership to family, or to employees, or to third party, you still have to go through the same steps. The first thing business owners need to do, I think, is to start thinking like a buyer and a banker. Because, let's be honest, that's what's gonna drive the transaction regardless of what strategy you use. But the thing is, it's real hard to do that. I got a new client yesterday, and he said, I want you here because I need a fresh set of eyes on what we're doing, and even though they're doing a great job, I could see immediately the things that we need to tackle. So, step back and look at your business as a banker and a buyer would.

Frumi: Often people pull the trigger on their job, let's say they're totally unhappy in a corporate position, they're ready to quit and jump into it without setting the stage for it. There's so much that can be done before you actually quit a job, so that when you're really ready you can just press the go button instead of starting then. Because, I think what people don't realize, is that it takes 2 years to start a company, and it could take as many as 4 to get as much as you were earning in a corporate job. That's still worth it.

Bill: What are some of the types of instruments that people are turning to to produce income with their liquidity?

 

Jim: Hopefully, they've have had a large enough check that they don't have to have a really high yield, because it's hard to project even a 4% yield if you're not willing to take risks, and after a person sells their business, they tend to take a little less risk with their investments they're not used to working with every day. They risk in their business, but not in their investments. It's difficult to provide a really completely safe CD type income, if someone says that's possible, it's probably not. But I think a diversified portfolio, managed money of various things, if it's long-term income maybe annuities, we'll use some alternate investments. Many of the business owners own their own buildings, so that's income.
